IMVU Shop-A-Thon Sweepstakes 

OFFICIAL RULES

NO PURCHASE IS NECESSARY TO ENTER OR WIN. 

1. Eligibility: The IMVU Shop-A-Thon Sweepstakes (the "Sweepstakes") is open only to participants who are at least 18 years old (or the age of majority in their jurisdiction, whichever is older) at the time of entry. IMVU, LLC (the “Sponsor”) and any of its affiliates’, subsidiaries’, advertising and promotion agencies’, and suppliers’ employees, contractors, interns, officers, directors, their immediate family members, and individuals living in the same household thereof are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

2. Agreement to Rules: By participating, you agree to be fully unconditionally bound by these official rules (the “Official Rules”), and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Sponsor, as final and binding as it relates to the content and the Sweepstakes. 

3. Sweepstakes Period: Entries will be accepted online starting on or about November 28, 2025, at 12:00:01 am Pacific Time (“PT”) and ending December 1, 2025, at 11:59:59 pm PT (the “Sweepstakes Period”). All online entries must be received by December 1, 2025, at 11:59:59 pm PT.

4. How to Enter: To enter the Sweepstakes, during the Sweepstakes Period, follow the instructions below:

• Methods of Entry
  • Login. Each time an eligible user logs into their IMVU account during the Sweepstakes Period, they will receive one entry. 
  • Purchase an Item from the IMVU Shop. Each time an eligible user purchases any item in the IMVU Shop, they will receive one entry. 
  • Purchase an Item from IMVU’s Black Friday List or November Featured Creators. Each time an eligible user purchases any item from an IMVU Black Friday Outfit or a Featured Creator, they will receive two entries. 
• Bonus Entry Opportunities
  • Support Small Biz Saturday. Eligible users who are among the top 10,000 highest spenders in the IMVU Shop between 12:00:01 AM PT and 11:59:59 PM PT on November 29, 2025 will receive three entries per each item purchased.
  • Sunday Double-Entry Dash. Eligible users will receive two entries each time they log into their IMVU Account between 12:00:01 AM PT and 11:59:59 PM PT on November 30, 2025.

By submitting an entry as instructed through any of the above methods (“Submission”), you agree that your Submission conforms to the Guidelines and Restrictions below. Sponsor may choose to remove any Submission or disqualify you from the Sweepstakes if it believes that your Submission fails to conform with the Guidelines and Restrictions. Upon completion of all required entry steps and compliance with the Guidelines and Restrictions, you will receive one entry into the Sweepstakes. 

Limit: There is no limit to the number of entries participants can receive for each method of entry, and participants will receive multiple types of entry method, as applicable. Any attempt to obtain additional entries through prohibited means, such as using bots or duplicate accounts, will result in disqualification. Entries that are not complete or do not adhere to these Official Rules or the Sponsor’s entry instructions may be disqualified at the Sponsor’s discretion.

Submission Guidelines and Restrictions:

1. Your Submission must not supply untruthful, incomplete, inaccurate or misleading information.
2. Your Submission must not (in Sponsor’s discretion): (i) violate any third party rights, including copyrights, trademark rights, or rights of privacy and publicity; (ii) contain disparaging or defamatory statements; (iii) include threats to any person, place, business, or group; (iv) be obscene, offensive, or indecent; (v) depict any risky behavior; (vi) contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; or (vii) contain unauthorized third party trademarks or logos.
3. You represent and warrant that: (i) the Submission does not violate any applicable law, rule or regulation; (ii) to the extent the Submission depicts any individual or features the voice or other qualities of any individual, you are the individual pictured, heard, or otherwise featured in the Submission, or, alternatively, that you have obtained written permission from each person appearing in the entry to grant the rights to Sponsor described in these Official Rules, and will make written copies of such permissions available to Sponsor upon request; and (iv) the Submission complies with all requirements of these Official Rules.

If participating in this Sweepstakes via your mobile device (which service may only be available via select devices and participating wireless carriers, and is not required to enter), you may be charged for standard data use from your mobile device according to the terms in your wireless service provider’s data plan. Normal airtime and carrier charges and other charges may apply to data use and will be billed on your wireless device bill or deducted from your pre-paid balance. Wireless carrier rates vary, so you should contact your wireless carrier for information on your specific data plan.

5. Prizes: A total of 50 winners will receive the following prizes:

• Grand Prizes (3 Winners): $300 VISA Gift Card PLUS an Annual Emerald VIP (a $284.99 value).
• 2nd Prize (7 Winners): Three months of Diamond VIP (a $52.99 value).
• 3rd Prize (40 Winners): One month of Platinum VIP (a $9.99 value).

All prizes will be awarded via a random drawing. 

Prize Restrictions: Prizes will be limited to one prize per participant. No prize substitution will be permitted except at Sponsor's discretion. The prize is nontransferable prior to receipt. Any and all prize related expenses, including without limitation any and all federal, state, and local taxes shall be the sole responsibility of the winner. Acceptance of prize constitutes permission for Sponsor to use winner's name and entry for purposes of making the list of winners publicly available, unless prohibited by law. Only the number of prizes stated in these Official Rules are available to be won in the Sweepstakes. Except for applicable manufacturer’s standard warranties, the prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including any implied warranty of merchantability or fitness for a particular purpose). 

6. Winner selection and Notification: On or about December 8, 2025, the Sponsor will select the names of winners of the prizes in a random drawing from among all eligible Submissions. The odds of winning depend on the number of eligible entries received. 

Winners will be notified via email. Sponsor has no liability for a winner's failure to receive notices. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within 15 days from the time award notification was sent, or fails to timely return a completed and executed declaration and releases as required, prize will be forfeited and an alternate winner selected. Only three alternate drawings will be held for each prize, after which the remaining prizes will not be awarded. The receipt by winner of the prize offered in this Sweepstakes is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

Verification of Potential Winner: EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. AN ENTRANT IS NOT A PRIZE WINNER UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE AND NO FURTHER ACTION IS NEEDED.

7. Rights Granted by you: By entering this content you understand that Sponsor, anyone acting on behalf of Sponsor, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, your entry, including, without limitation, the entry and winner's name for purposes of making publicly available the list of contest winners without any further compensation. By entering this Sweepstakes, you consent to being contacted by Sponsor for any purpose in connection with this Sweepstakes. 

8. Terms: Sponsor reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such case, Sponsor may randomly select the winners from among all eligible entries received prior to and/or after (if appropriate) the disrupting incident occurs. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Official Rules.

Sponsor has the right, in its sole discretion, in order to maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to: the creation of multiple entries by the same person that exceed the per-person limitations by circumventing these Sweepstakes Official Rules, such as by using different IP addresses, or the use of bots, macros or scripts or other technical means for entering the Sweepstakes. Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.

By entering the Sweepstakes you agree to receive email newsletters periodically from Sponsor and/or its subsidiaries. You can opt-out of receiving this communication at any time by clicking the unsubscribe link in the newsletter.

9. Limitation of Liability: By entering you agree to release and hold harmless Sponsor and any of its respective subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the sweepstakes and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error which may occur in the administration of the Promotion or the processing of entries.

10. Disputes: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF USA AND CALIFORNIA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Sweepstakes, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in California having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Sweepstakes), and participant further waives all rights to have damages multiplied or increased.
